Intervention – Scene 35

               INT. DICK'S OFFICE -- DAY

               The office is large, extremely organized, filled with
               electronics and a large work desk, overflowing with files.
               Multiple computer screens flash with data and drawings.
               Dick and Carl's sleeves are rolled up.

                                   DICK
                         The development team says the
                         hardware upgrades will be ready
                         three days early.

                                   CARL
                         What about Comptron's offer?  Can
                         we counter based on our profit re
                         evaluation for the next cycle?

                                   DICK
                         What's our best and worst case?

               Carl points to his brief case, but doesn't reach for it.

                                   CARL
                         Profits, based on conservative
                         GAAP principals, revised this
                         last month, range from eight and
                         a half to twenty four percent.
                         That's taking into account a
                         nine, point, seven five percent
                         variance on costs associated with
                         asset redeployment.  Fifty six
                         million.

                                   DICK
                         What's your gut say?

                                   CARL
                         You're the gut guy.  The best I
                         know, but I think they would be
                         getting us for a steal of a deal
                         when the next upgrades hit the
                         market.  They don't have any good
                         competing products.

                                   DICK
                         No one has a good competing
                         product.  So, let's take them
                         over instead.

               Carl strolls to the brief case and takes out a folder.

                                   CARL
                         Here are the projections, with
                         their cash flow and anticipated
                         market share loss based on the
                         next quarter.
                         I also included my guess as to
                         what their board of directors and
                         stockholders would need to sell.
                         Roughly seventy two million.

                                   DICK
                         Start out offering twenty five
                         percent under that.  Go up to
                         fifteen percent and settle at ten
                         percent if needed.

                                   CARL
                         The buy out will stretch us for
                         about ninety days.

                                   DICK
                         Every takeover we have done has
                         been that way.  Close this deal
                         and we can keep the company
                         private.

                                   CARL
                         All in the family.  I'll have the
                         offer done today.  But, what
                         about Jane, she finds out we
                         double in size and who knows.

               Dick slams the brief case shut.

                                   DICK
                         Business is always easier than
                         marriage.  The rules for the deal
                         stay the same.  You usually know
                         who's trying fuck you and when.

    I’ll make sure Jane’s not going to get a penny either.
    I promise, I won’t tell her because I’m going to tell it
    only to my cigaret and then smoke it all after that.
